CLIENT & LEGAL COUNSEL REVIEW DRAFT

This document is published as an operational working draft for client review, architectural preview, and legal counsel consultation. It is not presented as a finalized or binding legal document, nor does it constitute formal legal advice. All operational policies, indemnification clauses, dispute mechanisms, and warranties remain subject to revision, statutory customization, and execution by authorized corporate legal counsel under the laws of the Federal Republic of Nigeria.

Document Version: 1.2-DRAFT Status: Pending Final Legal Counsel Sign-off

1. Acceptance of Platform Terms

By creating an account, browsing property listings, submitting formal purchase offers, booking inspection tours, or participating in fractional co-investment projects on the AGS platform, you confirm that you have read, understood, and agreed to be governed by these Terms of Service, our Privacy Policy, and all applicable federal and state real estate regulations in Nigeria.

2. User Accounts & Identity Verification (KYC)

Access to certain premium functionsβ€”including escrow payments, private viewing appointments, and capital investmentsβ€”requires identity verification in compliance with Nigerian anti-money laundering (AML) and know-your-customer (KYC) standards. You agree to provide accurate, current information and maintain the security of your login credentials.

3. Marketplace Listings & Due Diligence Standards

While AGS employs rigorous document vetting protocols (such as verifying Certificates of Occupancy, Governor's Consent, and cadastral survey numbers with the relevant land registries), users are advised to conduct independent physical inspections and retain legal counsel prior to releasing non-escrow disbursements.

4. Escrow Facilities & Payment Safeguards

Purchase deposits and co-investment capital committed on AGS are held in segregated, audited escrow accounts. Funds are only disbursed to property custodians, developers, or vendors upon verified completion of agreed milestones or title transfer deed execution.

5. Fractional Co-Investment & Return Distributions

Participation in fractional real estate development projects is governed by dedicated Special Purpose Vehicle (SPV) operating agreements and our Investment Risk Disclosure. Projected annual yields (e.g. 18% – 32%) represent financial models and are not bank-insured fixed deposits.

6. Limitation of Liability

To the fullest extent permissible under Nigerian jurisprudence, AGS and its directors, consultants, and affiliates shall not be liable for indirect, incidental, or consequential damages arising from third-party vendor misrepresentations, title registry delays, or force majeure events.

7. Governing Law & Arbitration

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any unresolved dispute arising out of or in connection with these terms shall first be submitted to mediation at the Multi-Door Courthouse in Abuja (FCT) before recourse to formal litigation.
